Terms
Article 1 — Scope
These terms ("Terms") govern the contractual relationship between Salima Foods SAS (the "Supplier") and any professional client (the "Client"), excluding consumers. Placing an order entails full acceptance of these Terms, which prevail over the Client's purchase conditions unless otherwise agreed in writing.
Article 2 — Products and halal compliance
The products offered are frozen chicken meat, halal-certified by Association de Vigilance et d’Information sur la Vie Quotidienne et Sociale (AVS). The current certificate and product specs (composition, allergens, nutrition, EAN codes) are provided on account opening and at each update. Products comply with EU regulations 178/2002 (food safety), 1169/2011 (consumer information) and 853/2004 (animal-origin foodstuffs).
Article 3 — Order
Any order becomes binding upon written confirmation by the Supplier. Minimum order is one pallet (≈ 600 kg of mixed range), save express derogation negotiated at account opening. Standard first-delivery lead time is 4 weeks from PO.
Article 4 — Prices
Prices are in euros, ex-VAT, unless otherwise stated. Applicable VAT is added on the invoice. Prices are confirmed at each order, or locked contractually for 6 months for partner distributors.
Article 5 — Delivery and cold chain
Delivery is performed by refrigerated truck under controlled temperature at −18 °C, in line with EU cold-chain rules. Standard Incoterms are DAP Client warehouse, unless otherwise agreed. The Supplier is not liable for delays caused by force majeure (Article 9).
Article 6 — Receipt, traceability and claims
On receipt, the Client must verify pallet integrity, seals, core temperature, BBD, and packaging. Any reservation on the delivery slip must be motivated and confirmed in writing within 48 hours, with photos. Quality or conformity claims must be notified within 7 days of delivery. Lot numbers allow full downstream traceability.
Article 7 — Payment
Unless otherwise agreed, standard payment terms are 30 days end-of-month from invoice date, per article L.441-10 of the French Commercial Code. Overdue amounts trigger statutory late-payment interest (ECB rate + 10 points) and a flat €40 fee per invoice, without prior notice.
Article 8 — Retention of title
Pursuant to article 2367 of the French Civil Code, goods remain the Supplier's property until full payment. Risk transfers on delivery.
Article 9 — Force majeure
Force majeure within the meaning of article 1218 of the French Civil Code includes: poultry epizootics, supply disruptions beyond the Supplier's control, transport strikes, port closures, pandemics, and any external, unforeseeable and irresistible event.
Article 10 — Personal data
The Client's data is processed in line with our privacy policy and the GDPR.
Article 11 — Governing law and jurisdiction
These Terms are governed by French law. Failing amicable settlement, the commercial court of Paris shall have exclusive jurisdiction.
